These Terms of Service ("Terms") govern your access to and use of software engineering services, web applications, and consulting solutions provided by PROJONMOLAB. By accessing our services or engaging our engineering squad, you agree to these Terms.
1. Scope of Services
PROJONMOLAB provides custom software architecture, web & mobile application development, AI & machine learning pipelines, and cloud DevOps engineering. Project deliverables, timelines, and milestones are defined in signed Statements of Work (SOW) or Master Services Agreements (MSA).
2. Intellectual Property Rights
- Client Codebase Ownership: Upon full payment of project invoices, all custom source code, documentation, and assets created specifically for the client belong entirely to the client.
- Pre-existing Frameworks: PROJONMOLAB retains ownership of proprietary developer utilities, third-party libraries, and reusable starter kits incorporated into the project, granting the client a perpetual, royalty-free license to use them.
3. Payment Terms & Milestone Delivery
Invoices are issued according to agreed milestone schedules. Payments are due within 14 calendar days of invoice date unless otherwise specified in writing. Failure to settle invoices may result in temporary suspension of active sprint development or deployment access.
4. Client Responsibilities
Clients agree to provide timely feedback, necessary credentials (APIs, third-party accounts), and domain expertise required for milestone completion. Delays in client feedback may extend project delivery timelines.
5. Warranties & Limitation of Liability
PROJONMOLAB warrants that code will perform substantially in accordance with agreed technical specs for a 60-day post-launch warranty period. In no event shall PROJONMOLAB be liable for indirect, consequential, or punitive damages exceeding the total fees paid under the applicable SOW.
6. Governing Law
These Terms shall be governed by and construed in accordance with applicable commercial laws. Any disputes arising hereunder shall be subject to amicable negotiation or binding arbitration.
